Register a Joint Stock Company (JSC)
Registering a joint-stock company allows you to do business with other investors (shareholders), who can be both individuals and legal entities. By purchasing shares in the company, shareholders can receive dividends and participate in the management of the company.
To register a joint-stock company, it is necessary to submit the necessary documents to the territorial offices of the State Register of Legal Entities Agency.
Citizens of the Republic of Armenia Must Submit
-
Passport or identification card
-
Founder's decision on establishing a legal entity
-
If there is more than one founder, the minutes of the Founders' Meeting signed by all founders or the chairman and secretary of the meeting
-
The charter of the joint-stock company approved by the founder (founders) or the founding meeting
-
Information about the head of the company's executive body or his temporary representative (passport data, public services number or a note on the person's refusal to receive a social card, the relevant reference number, e-mail address)
If the founders include a legal entity registered in the Republic of Armenia, it is necessary to submit the decision of its authorized management body, the name of the legal entity, and the state registration number.
Citizens of Other Countries Must Submit
- Passports of all founders and their copies, translated and notarized.
Legal Entities Registered in Other Countries Must Submit
- An extract from the commercial register of the relevant country confirming the legal entity's registration there or a document confirming the entity's legal status, along with its founding documents (or relevant extracts). All documents must be certified and translated into Armenian.
Depending on the preferred type of joint-stock company, open or closed, the sample documents for an OJSC or CJSC should be used.
A registration statement or denial is sent to the email address provided. The statement includes the company's state registration number and taxpayer identification number (TIN), which is its identification code.
Attention
After state registration, the register of joint-stock companies must be transferred to the Central Depository of the Republic of Armenia for maintenance, therefore it is necessary to submit the registration certificate to the depository account operators (the list of the Central Depository of the Republic of Armenia account operators is presented on the official website).
